| dc.description.abstract | La responsabilidad de administradores es un tema muy controvertido siendo al mismo tiempo muy habitual en la práctica jurídica de las sociedades de capital. El presente trabajo se centra principalmente en determinar el presupuesto objetivo y subjetivo de la responsabilidad por daños y analizar en profundidad la acción social de responsabilidad. En este sentido, la acción social de responsabilidad es aquella que se interpone contra los administradores para exigirles responsabilidad en los supuestos en los que han causado un daño en el patrimonio social por actos u omisiones contrarios a la ley, a los estatutos o incumpliendo los deberes inherentes al cargo, siempre y cuando haya intervenido dolo o culpa. La legitimación para entablar la acción social es escalonada, por lo que, en primer lugar, se encuentra legitimada para interponer la acción social la propia sociedad, en segundo lugar, subsidiariamente, los socios minoritarios y en tercer lugar, subsidiariamente, los acreedores. | es_ES |
| dc.description.abstract | Directors' liability is a highly controversial issue and at the same time very common in the legal practice of corporations. This paper focuses mainly on determining the objective and subjective scope of liability for damages and analyzing in depth the social action of liability. In this sense, the social action of responsibility is that which is brought against the administrators to demand responsibility in the cases in which they have caused damage to the social patrimony due to acts or omissions contrary to the law, to the statutes or by failing to comply with the duties inherent to the position, as long as fraud or guilt has intervened.
